By accessing or using Rely Technologies' website, software products, or services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms").

If you are using the Services on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

If you do not agree to these Terms, please do not use our Services.

Rely Technologies provides healthcare IT software solutions including Hospital Information System (HIS), Laboratory Information System (LIS), Pharmacy Information System (PIS), Radiology Information System (RIS), and related modules.

Our Services are designed for use by licensed healthcare providers, hospitals, clinics, diagnostic centres, and related healthcare organisations.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable licence to use the Services for your internal healthcare operations.

You may not sublicense, resell, or distribute the Services without our prior written consent.

You may not reverse engineer, decompile, or attempt to extract the source code of our software.

You may not use the Services for any unlawful purpose or in violation of any applicable healthcare regulations.

You are responsible for ensuring that your use of the Services complies with all applicable healthcare laws and regulations, including the IT Act 2000, DPDP Act 2023, and ABDM guidelines.

You retain ownership of all patient data processed through our Services. We act as a data processor on your behalf.

You must obtain all necessary consents from patients before processing their health data through our platform.

You are responsible for maintaining appropriate access controls and ensuring that only authorised personnel access patient data.

You are responsible for maintaining the confidentiality of your account credentials.

You must immediately notify us of any unauthorised access to your account.

You are responsible for all activities that occur under your account.

You must ensure that all users of your account comply with these Terms.

Fees for our Services are as specified in your service agreement or order form.

All fees are non-refundable unless otherwise specified in your agreement.

We reserve the right to suspend Services for non-payment after providing reasonable notice.

Prices are subject to change with 30 days' written notice.

All intellectual property rights in the Services, including software, documentation, and trademarks, remain the exclusive property of Rely Technologies.

You retain ownership of your data and content. By using our Services, you grant us a limited licence to process your data solely to provide the Services.

Any feedback or suggestions you provide may be used by us to improve our Services without obligation to you.

We target 99.9% uptime for our cloud-based Services, as specified in your service agreement.

Scheduled maintenance windows will be communicated in advance.

In the event of service disruptions, we will work to restore Services as quickly as possible.

Specific SLA terms, including credits for downtime, are governed by your individual service agreement.

To the maximum extent permitted by law, Rely Technologies shall not be liable for any indirect, incidental, special, or consequential damages.

Our total liability for any claim arising from these Terms shall not exceed the fees paid by you in the 12 months preceding the claim.

We do not warrant that the Services will be error-free or uninterrupted.

Nothing in these Terms limits liability for death, personal injury, or fraud caused by our negligence.

You agree to indemnify and hold harmless Rely Technologies from any claims, damages, or expenses arising from your use of the Services in violation of these Terms.

This includes claims arising from your breach of applicable healthcare regulations or misuse of patient data.

Either party may terminate the Services with notice as specified in your service agreement.

We may terminate or suspend your access immediately for material breach of these Terms.

Upon termination, you will have a reasonable period to export your data before it is deleted.

These Terms are governed by the laws of India.

Any disputes shall be subject to the exclusive jurisdiction of the courts in [Your City], India.

We encourage resolution of disputes through good-faith negotiation before resorting to legal proceedings.

We may update these Terms from time to time. We will notify you of material changes with at least 30 days' notice.

Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
